A Special Purpose Acquisition Company (SPAC) is a pooled investment vehicle that allows a stock market equityholder to take part in a private equity buyout transaction. In this paper, we highlight potential advantages and drawbacks of such an instrument in a country characterized by poor legal investor protection, of which Italy may be an ideal archetype.
