After identifying the main features of organisational rules, the essay examines those applicable to investment companies providing financial advice and financial advisory companies. Despite sharing their purpose, substantial differences in applicable law are found which are not readily justifiable but through path dependence. This result, confirmed by an analysis of the companies registry, sheds new light on the role of these legal forms and suggest particular care in applying the proportionality principle.
